1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the website moduline.ae and your engagement with the professional services provided by Moduline Engineering Consultancy L.L.C S.O.C (“Moduline,” “we,” “our,” or “us”), a company registered and operating in the United Arab Emirates.

By accessing our website, submitting an enquiry, or entering into a formal engagement with us, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, please do not use our website or engage our services.

These Terms should be read in conjunction with our Privacy Policy, which governs how we collect and process your personal data.


2. Services Provided

Moduline Engineering Consultancy is a licensed engineering consultancy based in Dubai, UAE, providing integrated design, approval, and supervision services for residential, commercial, industrial, and government projects across the Emirates. Our full range of services includes:

The specific scope, deliverables, timeline, and fees applicable to any engagement are defined in a separate Service Agreement issued to the client prior to commencement of work.

3. Scope of Engagement

Each project engagement begins with the signing of a formal Service Agreement that defines the scope of work. The following principles govern all engagements:

  • Services are provided strictly within the scope defined in the signed agreement. Any additional scope requested by the client may be subject to a variation order and additional fees
  • Our Engineering & Design Consultancy services include BIM coordination, structural design, architectural drawings, and MEP integration unless otherwise specified
  • Our Authority Approval services cover preparation and submission of documents to relevant UAE authorities; however, approval decisions rest solely with the regulatory body and Moduline cannot guarantee a specific approval outcome or timeline
  • Our Supervision & Site Support services are advisory and compliance-focused. Moduline is not responsible for contractor workmanship or construction defects arising from contractor action
  • Our Special Structural Services, including advanced analysis and seismic design, are delivered in accordance with applicable UAE codes and international standards as agreed in the service scope
  • Our Interior Design Division services cover space planning, 3D visualisation, and material selection; procurement and implementation are the responsibility of the client or their appointed contractors

4. Client Obligations

Clients engaging Moduline’s services agree to fulfil the following obligations to enable timely and effective delivery:

  • Provide accurate, complete, and up-to-date project information, site surveys, soil reports, and any existing drawings required by Moduline to perform its work
  • Grant timely access to the project site for inspection, surveying, and supervision activities as part of Supervision & Site Support engagements
  • Make payment of fees according to the agreed payment schedule defined in the Service Agreement
  • Appoint a single point of contact with sufficient authority to approve deliverables and make project decisions within agreed timeframes
  • Notify Moduline promptly of any changes to project scope, site conditions, ownership, or authority requirements that may affect the services being provided
  • Obtain any permits, approvals, or third-party consents outside the agreed scope prior to requesting Moduline to proceed with dependent work

Failure to fulfil client obligations may result in project delays, additional costs, or suspension of services. Moduline shall not be liable for delays or deficiencies arising from inadequate client cooperation.


5. Fees and Payment

Our professional fees are agreed in advance and set out in the Letter of Appointment or Service Agreement. The following general conditions apply:

  • Fees are quoted in UAE Dirhams (AED) unless otherwise stated and are exclusive of Value Added Tax (VAT) at the prevailing rate
  • Payment milestones are typically tied to project deliverables or time intervals as specified in the agreement
  • Invoices are payable within 15 calendar days of issue unless a different term is specified in writing
  • Late payments may incur a delay charge of 1.5% per month on the outstanding balance
  • Reimbursable expenses (such as government fees, printing, and travel for out-of-emirate projects) will be invoiced separately with supporting documentation
  • Fees for Special Structural Services involving advanced analysis or complex structural systems may be quoted separately due to the specialised nature of the work

6. Intellectual Property

All drawings, reports, calculations, specifications, models, and other documents produced by Moduline in connection with a project are the intellectual property of Moduline until full payment of agreed professional fees has been received.

  • Upon receipt of full payment, the client is granted a non-exclusive licence to use the deliverables for the specific project described in the Service Agreement
  • Deliverables may not be reproduced, modified, or used for any other project without prior written consent from Moduline
  • The Moduline name, logo, and brand identity are protected trademarks and may not be used in any marketing or commercial material without written authorisation
  • Technical research and articles published through our Research section are subject to copyright and may not be reproduced without attribution and permission
  • Project photography and renderings featured in our project portfolio remain the property of Moduline unless otherwise agreed with the client

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of an engagement. Moduline will not disclose client project details, commercial terms, or project documentation to any third party without the client’s written consent, except:

  • Where disclosure is required by UAE law, regulation, or a competent court order
  • To government authorities as necessary to complete authority approval processes
  • To sub-consultants or specialist engineers engaged to support the specific project, who are bound by equivalent confidentiality obligations

Moduline may, with client consent, reference completed projects in our portfolio and in marketing materials using general project descriptions that do not reveal commercially sensitive information.

Confidentiality obligations survive the termination of the service engagement for a period of 5 years.


8. Limitation of Liability

Moduline Engineering Consultancy provides its services with the standard of care expected of a qualified engineering consultancy operating in the UAE. The following limitations apply:

  • Moduline’s total liability to a client for any claim arising from a service engagement shall not exceed the total professional fees paid by the client under the relevant Service Agreement
  • Moduline is not liable for indirect, consequential, or incidental losses including loss of revenue, business opportunity, or damage arising from delays by third parties
  • Moduline is not responsible for construction defects arising from contractor non-compliance with approved drawings, particularly in Supervision & Site Support roles where instruction authority is limited by contract
  • Authority approval timelines and decisions are outside Moduline’s control. Delays in the approval process caused by regulatory bodies do not constitute a breach of service by Moduline
  • Nothing in these Terms excludes liability for death, personal injury, or fraud caused by Moduline’s gross negligence

The professional liability of our qualified engineering team is governed by UAE Federal Law No. 1 of 1996 and the regulations of the relevant UAE engineering bodies.


9. Website Use

Access to moduline.ae is provided for information purposes. The following conditions apply to all website users:

  • Content on this website, including text, images, technical articles in our Research section, and project photography in our Portfolio, is protected by copyright and may not be reproduced without permission
  • Information provided on this website does not constitute formal engineering advice. For project-specific guidance, please contact our team directly
  • We make reasonable efforts to keep website content accurate and up to date, but we do not guarantee the completeness or currency of all information at all times
  • Users must not attempt to gain unauthorised access to any part of the website, introduce malicious code, or interfere with normal website operation
  • We reserve the right to modify, suspend, or discontinue any part of the website at any time without notice

10. Termination

Either party may terminate a service engagement under the following circumstances:

  • By the client: The client may terminate services by providing 30 days’ written notice. Fees for work completed up to the date of termination are due and payable in full within 15 days of the termination notice
  • By Moduline: Moduline reserves the right to suspend or terminate services where the client fails to make payment within 30 days of a due date, fails to provide necessary information or site access, or acts in a manner that creates legal or reputational risk for Moduline
  • Mutual termination: Both parties may agree to terminate the engagement by mutual written consent, with agreed terms for outstanding fees and deliverable handover

11. Governing Law & Dispute Resolution

These Terms and Conditions, and any dispute arising from your use of this website or engagement with Moduline’s services, are governed by the laws of the United Arab Emirates. The courts of Dubai, UAE shall have exclusive jurisdiction over any disputes arising from these Terms.

Before resorting to formal dispute resolution, both parties agree to attempt to resolve any dispute through direct negotiation in good faith within 30 days of written notice of the dispute. If resolution is not reached, the parties may agree to pursue mediation or arbitration under the rules of the Dubai International Arbitration Centre (DIAC).
